1. 条款的适用和接受
1. Application and Acceptance of the Terms

Welcome to GreenGrid! These Terms of Use describe the terms and conditions applicable to your access and use of the websites, mobile sites, mobile applications and other portals owned, operated, branded or made available by GreenGrid from time to time. This document is a legally binding agreement between you as the user(s) of the Sites (referred to as “you”, “your”, or “User” hereinafter) and the GreenGrid (China) Technology Co., Ltd. (referred to as “we”, “our” or “GreenGrid” hereinafter).

Your access to and use of the Sites and GreenGrid’s services, software and products through the Sites is subject to the terms and conditions contained in this document as well as any other rules and policies of the Sites that GreenGrid may publish from time to time. This document and other rules and policies of the Sites are collectively referred to below as the “Terms”. By accessing and using the Sites and Services, you agree to accept and be bound by the Terms. Please do not access or use the Services or the Sites if you do not accept all of the Terms.

Each User represents, warrants and agrees that (a) you have full power and authority to accept the Terms, to grant the license and authorization and to perform the obligations hereunder；
You may not access or use the Services or the Sites if (b) you are not of legal age to form a binding contract with GreenGrid, or (c) you are not permitted to receive any Services under the laws of China or other countries/regions including the country/region in which you are resident or from which you access and use the Services and the Sites. or (d) you will not use the Sites in your role as business entity/professional.
1.4. 亿电通可随时通过在网站上发布相关的修订和重述条款来修改任何条款。条款如有任何重大变更，亿电通将通过在网站上发布相关变更通知您。继续访问或使用服务或网站，即表示您同意经修订和重述的条款将适用于您。
GreenGrid may amend any Terms at any time by posting the relevant amended and restated Terms on the Sites. GreenGrid will inform you of any material change to the Terms by posting the relevant changes on the Sites. By continuing to access or use the Services or the Sites, you agree that the amended and restated Terms will apply to you.
1.5. 亿电通已提供了本条款的中文版本的英文翻译，您同意提供翻译仅是为了方便起见，并且中文版本将决定您对服务或网站的访问和使用。
GreenGrid has posted or provided an English translation of the Chinese language version of the Terms. You agree that the translation is provided for convenience only and that the Chinese language version will govern your access to and use of the Services or the Sites.
1.6. 您可能需要与亿电通或我们的关联公司就任何服务（或服务中的功能）（无论是在线还是离线）签订单独的协议（均称为“ 附加协议 ”）。如果条款与附加协议之间存在任何冲突或不一致，仅就相关服务（或服务中的功能）而言，附加协议优先于本条款。
You may be required to enter into separate agreement(s), whether online or offline, with GreenGrid or our affiliate for any Service (or features within the Services) (each one is referred to as the “Additional Agreement”). If there is any conflict or inconsistency between the Terms and an Additional Agreement, the Additional Agreement shall take precedence over the Terms only in relation to that Service (or feature within the Service) concerned.

The Terms may not otherwise be modified except in writing by an authorized officer of GreenGrid.
1.8. 亿电通用户分为注册用户与非注册用户，注册用户包含未认证用户，已认证免费用户以及已认证付费会员（已认证的付费会员简称 "会员"）。
The Users of the GreenGrid are divided into Unregistered Users and Registered Users. Registered Users include unauthenticated users, authenticated free users, and authenticated paying members（authenticated paying member referred to as “Member”）.
2. 服务
2. The Service

You must register as a Registered User on the Sites in order to access and use some Services. Further, GreenGrid reserves the right, without prior notice, to restrict access to or use of certain Services (or any features within the Services) to Users, or subject to other conditions that GreenGrid may impose in our discretion.

Services (or any features within the Services) may vary for different regions and countries. No warranty or representation is given that a particular Service or feature or function thereof or the same type and extent of the Service or features and functions thereof will be available for Users. GreenGrid may in our sole discretion limit, deny or create different levels of access to and use of any Services (or any features within the Services) with respect to different Users.
2.3. 亿电通保留随时临时或永久更改、升级、修改、限制或暂停服务或其任何相关功能或应用程序的权利，恕不另行通知。亿电通进一步保留权利，但没有义务为服务或服务的未来版本引入新功能，功能，应用程序或条件。除非亿电通另有说明，否则所有新特性、功能、应用程序、条件、修改、升级和变更均受本协议约束。
GreenGrid reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice. GreenGrid further reserves the right but shall not be obliged to introduce new features, functionalities, applications or conditions to the Service or to future versions of the Service. All new features, functionalities, applications, conditions, modifications, upgrades and alterations shall be governed by this Agreement, unless otherwise stated by GreenGrid.

Each User acknowledges that inability to use the Service wholly or partially for whatever reason may have adverse effects on its business. Each User hereby agrees that in no event shall GreenGrid be liable to the User or any third parties for any inability to use the Service (whether due to disruption, changes to or termination of the Service or otherwise), any delays, inaccuracies, errors or omissions with respect to any communications or transmission or delivery of all or any part thereof, or any losses or damages (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Service.
2.5. 一些服务（或部分服务）可能由亿电通的关联公司代表亿电通提供。
Some Services (or part thereof) may be provided by GreenGrid’s affiliates on behalf of GreenGrid.
2.6. 亿电通可随时自行决定暂停或终止全部或部分免费用户利益，对于因暂停或终止而引起或与之相关的任何损失或损害不承担任何责任。亿电通保留随时自行决定向服务或服务的任何功能收费的权利。
GreenGrid may suspend or terminate all or part of Free User Benefits at any time in its sole discretion without liability for any losses or damages arising out of or in connection with such suspension or termination. GreenGrid reserves the right to charge for the Service or any feature or functionality of the Service at any time in its sole discretion.
2.7. 亿电通可在不事先通知的情况下推出、变更、升级、附加条件、暂停或停止任何服务（或服务中的任何功能），但在收费服务的情况下，此类变更不会对会员享受该服务的能力造成重大不利影响。
GreenGrid may launch, change, upgrade, impose conditions to, suspend, or stop any Services (or any features within the Services) without prior notice except that in case of a fee-based Service, such changes will not substantially adversely affect the ability of Members to enjoy that Service.
3. 用户基础条款
3. Users Generally
3.1. 作为访问和使用网站或服务的条件，您同意在访问或使用网站或服务时遵守所有适用法律和法规。
As a condition of your access to and use of the Sites or Services, you agree that you will comply with all applicable laws and regulations when accessing or using the Sites or Services.

You agree that (a) you will not copy, reproduce, download, re-publish, sell, distribute or resell any Services or any information, text, images, graphics, video clips, sound, directories, files, databases or listings, etc available on or through the Sites (the “Site Content”), and (b) you will not copy, reproduce, download, compile or otherwise use any Site Content for the purposes of operating a business that competes with GreenGrid, or otherwise commercially exploiting the Site Content. Systematic retrieval of Site Content from the Sites to create or compile, directly or indirectly, a collection, compilation, database or directory (whether through robots, spiders, automatic devices or manual processes) without written permission from GreenGrid is prohibited. Use of any content or materials on the Sites for any purpose not expressly permitted in the Terms is prohibited.
3.3. 亿电通可能允许用户通过超链接（文字链接、横幅、频道或其他形式）、API 或其他方式访问第三方网站提供的内容、产品或服务。在使用这些网站之前，请务必阅读此类网站的条款和条件及/或隐私政策。您承认亿电通对这些第三方网站没有控制权，不对这些网站进行监控，也不对这些网站或通过这些网站提供的任何内容、产品或服务承担任何责任。
GreenGrid may allow Users to access to content, products or services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise), API or otherwise to such third parties' web sites. You are cautioned to read such web sites' terms and conditions and/or privacy policies before using the Sites. You acknowledge that GreenGrid has no control over such third parties' web sites, does not monitor such web sites, and shall not be responsible or liable to anyone for such web sites, or any content, products or services made available on or through such web sites.

3.6. 您同意不采取任何行动破坏亿电通和/或任何其他用户的计算机系统或网络的完整性，也不会未经授权访问此类计算机系统或网络。
You agree not to undertake any action to undermine the integrity of the computer systems or networks of GreenGrid and/or any other User nor to gain unauthorized access to such computer systems or networks.
3.7. 您同意不采取任何可能破坏亿电通反馈系统真实性的行为，例如使用注册用户身份或通过第三方为自己留下正面反馈，或为其他用户留下未经证实的负面反馈。
You agree not to undertake any action which may undermine the integrity of GreenGrid’s feedback system, such as leaving positive feedback for yourself using Registered User IDs or through third parties or by leaving unsubstantiated negative feedback for another User.

By posting or displaying any logos, trademarks, service marks, brands, description/information in the product listings, and any other information, content or material on the Sites (any of such information, content or material, collectively referred to as “User Content”) or providing any User Content to GreenGrid and/or its affiliates and their respective representative(s), and to the extent permitted under applicable laws, you grant an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable (through multiple tiers) license to GreenGrid and/or its affiliates and their respective representative(s) to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, edit, translate, create derivative works using the User Content, remove any part of it (including, without limitation, the watermark or mark the User Content bears), and otherwise use any or all of the User Content in any form, media, or technology now known or not currently known in any manner, on the Sites, GreenGrid Channels and/or Third Party Channels and for any purpose which may be beneficial, whether directly or indirectly, to GreenGrid, the operation of the Sites, the provision of any Services and Promotion Services and/or the business of the User. You confirm and warrant to GreenGrid that you have all the rights, power and authority necessary to grant the above license and the User Content and use of such User Content (including derivative works) by GreenGrid and/or its affiliates under such license is free from any infringement or violation of any Third Party Rights (as defined in clause 5.4 of the Terms). To the maximum extent permitted by law, you waive your right to enforce your Intellectual Property Rights in the User Content against GreenGrid and/or its affiliates, assignees or sub-licensees in connection with the use of such User Content in connection with the Services. Information that is protected under data protection laws will only be used and kept in compliance with those laws.
4. 注册用户账号
4. Registered Users Accounts
4.1. 除获得亿电通批准外，一个用户只能在网站上注册一个账户。如果亿电通有理由怀疑用户已同时注册或控制两个或多个账户，则亿电通可能会取消或终止用户的账户。此外，亿电通网站可能出于任何原因拒绝用户的注册申请。
Except with GreenGrid’s approval, one User may only register one User account on the Sites. GreenGrid may cancel or terminate a Registered User’s account if GreenGrid has reasons to suspect that the User has concurrently registered or is in control of two or more Registered User accounts. Further, GreenGrid may reject User’s application for registration for any reason.

Upon registration on the Sites, GreenGrid shall assign an account and issue a Registered User ID and password (the latter shall be chosen by a Registered User during registration) to each Registered User.

A set of Registered User ID and password is unique to a single account. Each Registered User shall be solely responsible for maintaining the confidentiality and security of your Registered User ID and password and for all use of and activities that occur under your account (whether such use or activities are authorized or not). No Registered User may share, assign, or permit the use of your Registered User account, ID or password by another person, even to other individuals within the Registered User’s own business entity (where applicable). Registered User agrees to notify GreenGrid immediately if you become aware of any unauthorized use of your password or your account or any other breach of security of your account.
4.4. 注册用户承认与他人共享您的账户，或允许您商业实体外部的多个用户使用您的账户（统称为“多重使用”），可能会对亿电通或网站的其他用户造成无法弥补的伤害。对于因多重使用您的账户而遭受的任何损失或损害（包括但不限于利润损失），注册用户应向亿电通，我们的关联公司，董事，雇员，代理商和代表进行赔偿。注册用户还同意，在多重使用您的账户或注册用户未能维护您的账户安全的情况下，亿电通对由此造成的任何损失或损害不承担任何责任，并有权中止或终止注册用户账户，对注册用户不承担任何责任。
Registered User acknowledges that sharing of your account with other persons, or allowing multiple users outside of your business entity to use your account (collectively, "multiple use"), may cause irreparable harm to GreenGrid or other Users of the Sites. Registered User shall indemnify GreenGrid, our affiliates, directors, employees, agents and representatives against any loss or damages (including but not limited to loss of profits) suffered as a result of the multiple use of your account. Registered User also agrees that in case of the multiple use of your account or Registered User’s failure to maintain the security of your account, GreenGrid shall not be liable for any loss or damages arising from such a breach and shall have the right to suspend or terminate Registered User’s account without liability to the Registered User.
4.5. 注册用户同意，对网站和服务的所有使用以及您账户下发生的所有活动（包括但不限于发布任何公司或产品信息，点击接受任何其他协议或规则，订阅或为任何服务付款， 使用电子邮件账户发送电子邮件或发送短信）将被视为已被授权。
Registered User agrees that all use of the Sites and Services, and all activities that occur under your account (including without limitation, posting any company or product information, clicking to accept any Additional Agreements or rules, subscribing to or making any payment for any services, sending emails using the email account or sending SMS) will be deemed to have been authorized.
5. 用户责任
5. User’s Responsibilities

Each User represents, warrants and agrees that (a) you have full power and authority to accept the Terms, to grant the license and authorization and to perform the obligations hereunder; (b) your access and use of the Sites and Services will be for business purposes only; and (c) for Users who are business entities, the address you provide when registering is the principal place of business of your business entity. For purposes of this provision, a branch or liaison office will not be considered a separate entity and your principal place of business will be deemed to be that of your head office.

Registered User will be required to provide information or material about your entity, business or products/services as part of the registration process on the Sites for your access to and use of any Service or the Registered User account. Each Registered User represents, warrants and agrees that (a) such information and material whether submitted during the registration process or thereafter throughout the continuation of the use of the Sites or Service is true, accurate, current and complete, and (b) you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.

Upon becoming a Registered User, you consent to the inclusion of the contact information about you in our database and authorize GreenGrid and our affiliates to share the contact information with other Users or otherwise use your personal information in accordance with the Privacy Policy.
5.4. 每位注册用户声明、保证并同意：（a） 对于您提交、发布或展示的任何用户内容，您应全权负责获得所有必要的第三方许可和授权；（b） 您提交、发布或展示的任何用户内容均未侵犯或违反任何第三方的任何版权、专利、商标、商品名称、商业秘密或任何其他个人或专有权利（"第三方权利"）；(c) 您有权销售、交易、分销、出口或要约用户内容中描述的产品或服务，且该销售、交易、分销、出口或要约未侵犯任何第三方权利；以及 (d)注册用户或其任何相关人员均未在任何主要电子商务平台上被禁止或移除，或因在网上销售假冒或盗版产品而受到牵连。
Each Registered User represents, warrants and agrees that (a) you shall be solely responsible for obtaining all necessary third-party licenses and permissions regarding any User Content that you submit, post or display; (b) any User Content that you submit, post or display does not infringe or violate any of the copyright, patent, trademark, trade name, trade secrets or any other personal or proprietary rights of any third party (“Third Party Rights”); and (c) you have the right and authority to sell, trade, distribute or export or offer to sell, trade, distribute or export the products or services described in the User Content and such sale, trade, distribution or export or offer does not violate any Third Party Right; and (d) neither the Registered User nor any of its related persons, have been banned or removed from any major e-commerce platforms, or otherwise implicated in selling counterfeit or pirated products online.
5.5. 每位用户还声明、保证并同意，您提交、发布或展示的用户内容应（a） 真实、准确、完整和合法；（b） 不存在虚假、误导或欺骗；(c) 不包含诽谤、中伤、威胁或骚扰、淫秽、令人反感、攻击性、色情或对未成年人有害的信息；（d） 不包含基于种族、性别、宗教、国籍、残疾、性取向或年龄的歧视性或助长歧视的信息；(e) 不违反其他条款或任何适用的附加协议；（f） 不违反任何适用的法律和法规（包括但不限于有关出口管制、消费者保护、不公平竞争、哄抬物价或虚假广告的法律和法规）或宣传任何可能违反任何适用的法律和法规的活动。（g）不包含任何直接或间接指向任何其他网站的链接，其中包括任何可能违反条款的内容。
Each User further represents, warrants and agrees that the User Content that you submit, post or display shall: (a) be true, accurate, complete and lawful; (b) not be false, misleading or deceptive; (c) not contain information that is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit or harmful to minors; (d) not contain information that is discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; (e) not violate other Terms or any applicable Additional Agreements; (f) not violate any applicable laws and regulations (including without limitation those governing export control, consumer protection, unfair competition, price gouging or false advertising) or promote any activities which may violate any applicable laws and regulations; (g) not contain any link directly or indirectly to any other web Sites which includes any content that may violate the Terms.

Each User further represents, warrants and agrees that you shall/are: (a) carry on your activities on the Sites in compliance with any applicable laws and regulations; (b) conduct your business transactions with other users of the Sites in good faith; (c) carry on your activities in accordance with the Terms and any applicable Additional Agreements; (d) not use the Services or Sites to defraud any person or entity (including without limitation sale of stolen items, use of stolen credit/debit cards); (e) not impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;( f) not engage in spamming or phishing; (g) not engage in any other unlawful activities (including without limitation those which would constitute a criminal offence, give rise to civil liability, etc.) or encourage or abet any unlawful activities; (h) not involve attempts to copy, reproduce, exploit or expropriate GreenGrid’s various proprietary directories, databases and listings; (i) not involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information; (j) not involve any scheme to undermine the integrity of the data, systems or networks used by GreenGrid and/or any user of the Sites or gain unauthorized access to such data, systems or networks; (k) not, and your director(s), officer(s), controlling party/ies, affiliates and legal jurisdiction in which any of the foregoing persons or entities is organized or has operations are not, persons or entities that are subject to any economic or fraud sanctions of any governmental, international or regulatory entities; and(l) not engage in any activities that would otherwise create any liability for GreenGrid or our affiliates.

Registered User may not use the Sites, Services or Registered User account to engage in activities which are identical or similar to GreenGrid’s e-commerce marketplace business.

Registered User agrees to provide all necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for GreenGrid’s provision of the Services, evaluating whether Registered User has breached the Terms and/or handling any complaint against the Registered User. If Registered User’s failure to do so results in delay in, or suspension or termination of, the provision of any Service, GreenGrid shall not be obliged to extend the relevant service period nor be liable for any loss or damages arising out of or in connection with such delay, suspension or termination.

User acknowledges and agrees that GreenGrid reserves the right to, but shall not be required to actively monitor or exercise any editorial control whatsoever over the content of any message or material or information (including User Content) created, obtained or accessible through the Services or Sites. GreenGrid does not endorse, verify or otherwise certify the contents of any comments or other material or information (including User Content) created, submitted, posted, displayed or otherwise made by any User. Each User is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

User acknowledges and agrees that the Sites and Services may only be used by businesses and their representatives for business use and not for individual consumers or for personal use.

（e） 在使用服务时，您将始终遵守与产品、服务、软件和技术相关的所有适用的出口管制和制裁法律法规，包括联合国安理会、中华人民共和国、美利坚合众国和任何其他国家颁布和执行的制裁决议、法律和法规；
（f） 您和您的关联公司有责任使您的产品符合当地国家/地区、目的地国家/地区的法律法规以及其他适用的国际公约；
如果在任何时候，您未能满足上述任何要求，您应立即停止使用服务。如果亿电通有理由相信您的任何行为违反或可能违反任何适用的法律和法规，亿电通可自行决定在任何时候根据情况采取其认为适当的行动，包括但不限于终止向您提供服务、关闭相关采购订单和终止您的账户，同时保留其对任何违规行为或其用户行为的所有权利。
Each User represents, warrants and agrees that
(a) you and your affiliates shall comply with applicable laws and regulations in conducting your respective business (including without limitation applicable laws and regulations with respect to product safety, intellectual property rights, data privacy, consumer protection, product or regulatory certification, import and export control, unfair competition, price gouging, false advertising, labor, environment, health and safety, anti-bribery and anti-money laundering);
(b) you and your affiliates are not the subject of any trade restrictions, sanctions or other legal restrictions enacted or proposed to be enacted by any country, international organization or jurisdiction ("Relevant Subjects");
(c) you and your affiliates are not offering products or services that would likely trigger any international trade restrictions, sanctions or other legal restrictions by any Relevant Subjects;
(d) neither you, or any of your parent companies or affiliates, directly or indirectly, deal with, or provides any funds, goods or services to Relevant Subjects;
(e) you will at all times comply with all applicable export control and sanctions laws and regulations with regard to products, services, software and technologies in using the Services, including sanctions resolutions, laws and regulations enacted and enforced by the UN Security Council, the People's Republic of China, the United States of America, and any other country;
(f) You and your affiliates are responsible for ensuring that your products comply with the laws and regulations of the local country and = destination countries, as well as other applicable international conventions.
If, at any time, you fail to meet any of the above requirements, you should stop using the Services immediately. If GreenGrid reasonably believes that any of your conduct violates or threatens to violate any applicable laws and regulations, GreenGrid may, at its sole discretion, at any time take action as it may deem appropriate in light of the circumstances, including, but not limited to, terminating the provision of Services to you, closing relevant purchase orders, and terminating your accounts, while reserving all rights it may have regarding any non-compliant actions or conduct of its Users.

GreenGrid reserves the right in our sole discretion to remove, modify or reject any User Content (in whole or in part) that you submit to, post or display on the Sites which we reasonably believe (a) violates any applicable laws and regulations, (b) violates the Terms hereunder, (c) could subject GreenGrid or our affiliates to liability, (d) infringes any Third Party Rights, (e) could harm the interests of our Users, third party or GreenGrid or our affiliates, or (f) is otherwise found inappropriate in GreenGrid’s sole discretion.
GreenGrid reserves the right to cooperate fully with governmental and regulatory authorities, law enforcement bodies, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, to the extent permitted under applicable laws and policies, GreenGrid may disclose the User's identity, contact information and/or information regarding the Registered User's account(s), transactions or activities carried out on or via the Sites, if requested by a government, regulatory or law enforcement body or an injured third party, or as a result of a subpoena or other legal action.GreenGrid shall not be liable for damages or results thereof and User agrees not to bring any action or claim against GreenGrid for such disclosure.
In connection with any of the foregoing, GreenGrid may suspend or terminate the Account of any User as GreenGrid deems appropriate in its sole discretion.

If any User breaches any Terms, or if GreenGrid has reasonable grounds to believe that a User is in breach of any Terms, GreenGrid shall have the right to take such disciplinary actions as it deems appropriate, including without limitation: (a) suspending or terminating the Registered User’s account and any and all accounts determined to be related to such account by GreenGrid in its sole discretion without liability for any losses or damages arising out of or in connection with such suspension or termination; (b) restricting, downgrading, suspending or terminating the subscription of, access to, or current or future use of any Service; (c) removing any product listings or other User Content that the Registered User has submitted, posted or displayed, or imposing restrictions on the number of product listings or User Content that the Registered User may post or display; (d) imposing other restrictions on the Registered User’s use of any features or functions of any Service as GreenGrid may consider appropriate in its sole discretion; and (e) any other corrective actions, discipline or penalties as GreenGrid may deem necessary or appropriate in its sole discretion.

Without limiting the generality of the provisions of the Terms, a Registered User would be considered as being in breach of the Terms in any of the following circumstances: (a) upon complaint or claim from any third party, GreenGrid has reasonable grounds to believe that such Registered User has willfully or materially failed to perform your contract with such third party including without limitation where a Registered User who supplies products or services using the Sites and Services has failed to deliver any items ordered by such third party after receipt of the purchase price, or where the items such Registered User has delivered materially fail to meet the terms and descriptions outlined in your contract with such third party, (b) GreenGrid has reasonable grounds to suspect that such Registered User has used a stolen credit card or other false or misleading information in any transaction with a counter party, (c) GreenGrid has reasonable grounds to suspect that any information provided by the Registered User is not current or complete or is untrue, inaccurate, or misleading, or (d) GreenGrid believes that the Registered User’s actions may cause financial loss or legal liability to GreenGrid or our affiliates or any other Users.

Each Registered User agrees to indemnify GreenGrid, our affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from your submission, posting or display of any User Content, from your access to or use of the Sites or Services, or from your breach of the Terms or any Additional Agreements.

Each Registered User further agrees that GreenGrid is not responsible, and shall have no liability to you or anyone else for any User Content or other material transmitted through the Sites or Services, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such User Content or other material rests entirely with the Registered User. GreenGrid reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Registered User, in which event the Registered User shall cooperate with GreenGrid in asserting any available defenses.

GreenGrid additionally provides electronic web-based transaction platforms for Registered User to place, accept, conclude, manage and fulfill orders for the provision of products and services online within the Sites. However, for any Services, GreenGrid does not represent either the seller or the buyer in specific transactions. GreenGrid does not control and is not liable or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Sites, the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.

Examples of such risks shall include, but are not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory product quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract, transportation accidents, the risk that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites may violate or may be asserted to violate Third Party Rights, and the risk that Users may incur costs of defense or other costs in connection with third parties’ assertion of Third Party Rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to the assertion of rights, demands or claims by claimants of Third Party Rights. Examples of such risks also include the risk of claims from consumers, other purchasers, end-users of products or other third parties that they have suffered injuries or harm from their use of the products obtained through the Sites or Services. All of the foregoing risks are referred to as "Transaction Risks". GreenGrid is not liable or responsible for any damages, claims, liabilities, costs, harm, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.

ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, AND UNDERTAKINGS ARE HEREBY EXCLUDED.

The Sites may make available to User services or products provided by independent third parties. No warranty or representation is made with regard to such services or products. In no event shall GreenGrid or our affiliates be held liable for any such services or products.
8.5. 每位用户特此同意赔偿并保证亿电通、我们的关联公司、董事、高级职员和员工免受任何和所有损失、损害、索赔、责任（包括在全面赔偿基础上的法律费用），这些损失、损害、索赔、责任可能因该用户访问或使用网站或服务（包括但不限于在网站、亿电通渠道或推广服务下第三方渠道上提交、发布该用户的信息和用户内容）或因违反本协议下的任何陈述、保证以及条款和条件而产生。每位用户特此进一步同意赔偿并保证亿电通、我们的关联公司、董事、高级职员和员工免受任何和所有损失、损害、索赔、责任（包括在全面赔偿基础上的法律费用），这些损失、损害、索赔、责任可能因用户违反对亿电通做出的任何陈述和保证而产生，包括但不限于本协议第5部分下所列的陈述和保证。
Each User hereby agrees to indemnify and hold GreenGrid, our affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such User's access to or use of the Sites or Services (including but not limited to the submission, posting or display of such User's information and User Content on the Sites, GreenGrid Channels or Third Party Channels under Promotion Services) or from your breach of any of the representations, warranties hereunder and the terms and conditions of the Terms. Each User hereby further agrees to indemnify and hold GreenGrid, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise from User's breach of any representations and warranties made by User to GreenGrid, including but not limited to those set forth in clause 5 hereunder.
8.6. 每个用户在此进一步同意赔偿并使亿电通、我们的附属机构、董事、高级职员和雇员免受任何及所有损失、损害、索赔、责任（包括全额赔偿基础上的法律费用），这些损失、损害、索赔、责任可能会直接或间接地由于第三方权利索赔人或其他第三方就网站上提供或显示的用户内容、信息和/或产品提出的任何索赔而产生。每位用户在此进一步同意，亿电通不对他人发布的任何材料（包括诽谤性、攻击性或非法材料）负责，也不对您承担任何责任，并且此类材料造成损害的风险完全由每位用户承担。亿电通保留自行承担费用对任何原本应由注册用户赔偿的事项进行独家辩护和控制的权利，在这种情况下，注册用户应配合亿电通提供任何可用的辩护。
Each User hereby further agrees to indemnify and save GreenGrid, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, as a result of any claims asserted by Third Party Rights claimants or other third parties relating to the User Content, information and/or products offered or displayed on the Sites. Each User hereby further agrees that GreenGrid is not responsible and shall have no liability to you, for any material posted by others, including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each User. GreenGrid reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with GreenGrid in asserting any available defenses.
8.7. 亿电通不对任何特殊、直接、间接、惩罚性、附带或后果性损害或任何其他损害（包括但不限于利润或储蓄损失、业务中断、信息丢失的损害）负责，无论是在合同、疏忽、侵权、公平或其他方面，或因以下任何事项导致的任何其他损害：（a）使用或无法使用本网站或服务；（b） 通过本网站或服务从用户或任何其他第三方购买或获得的货物、样品、数据、信息或服务的任何缺陷；（c） 侵犯第三方权利，或用户制造、进口、出口、分销、提供、展示、购买、销售和/或使用本网站或通过本服务提供或展示的产品或服务可能侵犯或可能被主张侵犯第三方权利的主张或要求；（d） 任何用户的数据或私人信息被第三方未经授权访问；（e） 网站或服务的任何用户的声明或行为；或；（f） 与网站或服务有关的任何事项，无论如何产生，包括过失。
GreenGrid shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, equity or otherwise or any other damages resulting from any of the following: (a) the use or the inability to use the Sites or Services; (b) any defect in goods, samples, data, information or services purchased or obtained from a User or any other third party through the Sites or Services; (c) violation of Third Party Rights or claims or demands that User's manufacture, importation, exportation, distribution, offer, display, purchase, sale and/or use of products or services offered or displayed on the Sites or through the Services may violate or may be asserted to violate Third Party Rights; or claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by Third Party Rights claimants; (d) unauthorized access by third parties to data or private information of any User; (e) statements or conduct of any User of the Sites or Services; or; (f) any matters relating to the Sites or Services, however arising, including negligence.

Notwithstanding any of the foregoing provisions, the aggregate liability of GreenGrid, our employees, agents, affiliates, representatives or anyone acting on our behalf with respect to each User for all claims arising from the access to or use of the Sites or Services during any calendar year shall be limited to the greater of (a) the amount of fees the User has paid to GreenGrid in exchange for the access to or use of the Site or Services during the calendar year and (b) the maximum amount permitted under the applicable law. The preceding sentence shall not preclude the requirement by the User to prove actual damages. All claims arising from the use of the Sites or Services must be filed within one year from the date the cause of action arose or such longer period as prescribed under the applicable law governing the Terms.

The limitations and exclusions of liability to you under the Terms shall apply to the maximum extent permitted by law and shall apply whether or not GreenGrid has been advised of or should have been aware of the possibility of any such losses arising.

9.1. 亿电通不对因以下原因导致的服务或系统不可用、不便或故障引起的任何损失承担任何责任或支付任何形式的赔偿：（a） 系统因维护而关闭；（b） 由于通信终端或电信设备的故障而无法传输数据；（c） 由于不可抗力事件（包括但不限于台风、地震、海啸、洪水、停电、火灾、暴风雨、战争、政治动荡、劳工罢工、劳动力或材料短缺、骚乱、叛乱、内乱、恐怖袭击、爆炸、天灾、政府行为、国内外法院或法庭的命令、第三方不履行）导致的系统故障和无法执行其功能；或（d） 由于亿电通合理控制范围之外的原因，如黑客或网络攻击、技术调整或电信部门故障、网站升级、第三方问题或任何交通或业务运营的暂停或中断（包括但不限于任何政府机构命令的复工或运营的延迟或中断）导致的服务或系统暂停或故障，特别是在国家或地区范围内流行病或大流行传播的情况下。
GreenGrid shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the services or systems due to the following reasons: (a) system shut-down for maintenance; (b) inability to transmit data due to failures in communications terminals or telecommunications equipment; (c) systems failure and inability to perform its functions due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties; or (d) suspension or delay of services or systems failure due to reasons beyond the reasonable control of GreenGrid such as hacker or cyber attacks, technical adjustments or failure of the telecommunications department, website upgrades, third party problems or any suspension or disruption of transportation or business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic.

GreenGrid is the sole owner or lawful licensee of all the rights and interests in the Sites and the Site Content. The Sites and Site Content embody trade secrets and other intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights (subject to availability) in the Sites and Site Content shall remain with GreenGrid, our affiliates or licensors, as the case may be. All rights not otherwise claimed under the Terms or by GreenGrid are hereby reserved.
10.2. “亿电通”及相关图标和徽标是上海亿电通网络科技有限公司及其关联公司的注册商标或商标或服务标志；严格禁止擅自复制，修改，使用或发布这些商标。
"GREENGRID" and related icons and logos are registered trademarks or trademarks or service marks of GreenGrid (China) Technology Co., Ltd and its affiliated companies. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

GreenGrid may have independent third parties involved in the provision of the Sites or Services (e.g., the authentication and verification service providers). You may not use any trademark, service mark or logo of such independent third parties without prior written approval from such parties.

To the largest extent permissible under applicable law, all rights, title and interest to all derivative work created by GreenGrid and/or its affiliates using User Content pursuant to the Terms shall belong to GreenGrid, which may be freely assignable, licensable or grantable by GreenGrid to any third party or its affiliates.

All legal notices or demands to or upon GreenGrid shall be made in writing and sent to GreenGrid personally, by courier or certified mail to the following entity and address:填入具体地址. The notices shall be effective when they are received by GreenGrid in the above-mentioned manner.

All legal notices or demands to or upon a User shall be effective if either delivered personally, sent by courier, certified mail, by facsimile or email to the last-known correspondence, fax or email address provided by the User to GreenGrid, or by posting such notice or demand on an area of the Sites that is publicly accessible without a charge. Notice to a User shall be deemed to be received by such User if and when:(a) GreenGrid is able to demonstrate that communication, whether in physical or electronic form, has been sent to such User, or (b) immediately upon GreenGrid posting such notice on an area of the Sites that is publicly accessible without charge.

You agree that all agreements, notices, demands, disclosures and other communications that GreenGrid sends to you electronically will satisfy any legal requirement that such communication should be in writing.

The content posted by Users on GreenGrid is monitored through both automated systems and manual review. Illegal content will be removed from the Sites.

We reserve the right to suspend Services to any User who violates Terms or any applicable Additional Agreements. The decision to suspend Services will consider several factors, including but not limited to: (a) the number of items of manifestly illegal content or the number of notifications or unfounded complaints, submitted within a specific timeframe; (b) the relative proportion of these items or notifications in relation to the total number of items of information provided or notifications submitted within the same timeframe; (c) the severity of the misuse, which includes the nature of the illegal content and the consequences of such misuse; and (d) the apparent intent of the User, where sufficiently evident.

Actions taken on notices. Where your notice contains electronic contact information, GreenGrid will send a confirmation of receipt of the notice. After reviewing your notice, GreenGrid will notify you of its decision in respect of the information to which the notice relates and provide you with information on the possibilities for redress.

Complaint-handling system: If you have submitted a notice and are not satisfied with the decision, you may lodge a complaint within 6 months after you have been informed of GreenGrid’s decision following your notice. You can make a complaint on the Contact Us page（https://www.greengridvcm.com/new-website/index.html#/index/contactUs）. GreenGrid will inform you of its decision in respect of the information to which the complaint is related and of the possibility of out-of-court dispute settlement or other redress mechanisms. YOU ARE INFORMED THAT IF YOU FREQUENTLY SUBMIT NOTICES OR COMPLAINTS THAT ARE MANIFESTLY UNFOUNDED GREENGRID MAY SUSPEND, AFTER ISSUING A PRIOR WARNING, THE PROCESSING OF YOUR NOTICES AND COMPLAINTS. For example, when the User has abused the “Report” button by repeatedly reporting the same content(s), submitting large numbers of reports that do not violate our policies, using multiple accounts or technical means to attempt to bypass reporting rate limits.
11.2.4. 经认证的庭外争议解决：在您提交通知或提出投诉后，您可以选择任何经认证的庭外争议解决机构来解决与亿电通在通知或投诉后作出的决定相关的争议。在此情况下，您和亿电通将本着诚意与所选的经认证庭外争议解决机构合作，以解决争议。
Certified out-of-court dispute settlement: Where you have submitted a notice or lodged a complaint, you may select any certified out-of-court dispute settlement body in order to resolve disputes relating to GreenGrid decisions following a notice or a complaint. In such case, you and GreenGrid will engage, in good faith, with the selected certified out-of-court dispute settlement body with a view to resolving the dispute.
12. 一般规定
12. General Provisions
12.1. 在遵守任何附加协议的前提下，本条款构成您与亿电通之间关于网站和服务使用的完整协议，并约束您对网站和服务的使用，并取代与之前就相同主题的任何先前的书面或口头协议。
Subject to any Additional Agreements, the Terms constitute the entire agreement between you and GreenGrid with respect to and govern your use of the Sites and Services, superseding any prior written or oral agreements in relation to the same subject matter herein.
12.2. 亿电通和用户均为独立合同方，本协议无无意建立或创建代理、合伙、合资、雇佣或加盟关系。
GreenGrid and the User are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
12.3. 如果本条款的任何规定被认定为无效或无法执行，则应删除该规定，其余规定应保持有效并得到执行。
If any provision of the Terms is held to be invalid or unenforceable, such provision shall be deleted and the remaining provisions shall remain valid and be enforced.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
12.5. 对于用户违反本协议所规定的任何行为，亿电通没有行使任何权利或不采取行动并不构成对该权利的放弃，也不构成对亿电通就随后或类似的违反行为采取行动的权利的放弃。
GreenGrid's failure to enforce any right or failure to act with respect to any breach by a User under this Agreement will not constitute a waiver of that right nor a waiver of GreenGrid's right to act with respect to subsequent or similar breaches.
12.6. 亿电通有权将本协议（包括本协议的所有权利，所有权，利益，孳息以及责任和义务）转让给任何个人或实体（包括亿电通的任何关联公司）。用户不得将本协议的全部或部分转让给任何个人或实体。
GreenGrid shall have the right to assign this Agreement (including all of its rights, titles, benefits, interests, and obligations and duties in this Agreement) to any person or entity (including any affiliates of GreenGrid). The User may not assign, in whole or part, this Agreement to any person or entity.
12.7. 如果您根据第1.1条与上海亿电通网络科技有限公司签约，则本协议应受中华人民共和国的法律管辖，凡因本协议引起的或与本协议有关的任何争议，均应提交上海仲裁委员会按照该会仲裁规则进行仲裁。仲裁裁决是终局的，对双方当事人均有约束力。
THIS AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE PEOPLE’S REPUBLIC OF CHINA (“PRC”) IF YOU CONTRACT WITH GreenGrid (China) Technology Co., Ltd. ACCORDING TO PARAGRAPH 1.1. Any dispute arising from or in connection with this Agreement shall be submitted to Shanghai Arbitration Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules. The arbitral award is final and binding upon both parties.”
12.8. 如果本协议的中文版本与其他语言版本之间存在任何冲突，则以中文版本为准。
If there is any conflict between the Chinese version and another language version of this Agreement, the Chinese version shall prevail.
